Emami Realty's Finance Committee has allotted 82,00,000 fully paid-up equity shares of ₹2 each at ₹128.50 per share to promoter group entities Suraj Finvest Private Limited and Diwakar Finvest Private Limited. Each entity received 41,00,000 shares upon conversion of an equal number of warrants. The conversion was funded by converting existing unsecured loans to the extent of ₹96.375 per warrant (75% of exercise price), aggregating ₹79.03 crore. Post-allotment, the company's paid-up capital increased from ₹8.77 crore to ₹10.41 crore. Suraj Finvest's holding increased from 30.67% to 33.71%, while Diwakar Finvest's holding rose from 31.05% to 34.04%, collectively raising promoter holding to approximately 67.75%. The new shares rank pari passu with existing equity shares and are subject to SEBI ICDR lock-in restrictions.
This is a promoter-driven warrant conversion that increases the company's equity base by 18.73% while significantly increasing promoter stake, which may dilute non-promoter shareholder value. The conversion of unsecured loans into equity reduces the company's debt burden.
