The Board of Emerald Leisures Ltd has approved issuing up to 29,68,000 convertible warrants on a preferential basis at ₹225 each (face value ₹5 + ₹220 premium), raising up to ₹66.78 crore. The warrants are proposed to be allotted to 51 allottees, including Promoters, Promoter Group members, and Non-Promoter investors. Allottees must pay 25% upfront, with the balance 75% due upon exercise of warrants within 18 months; unexercised warrants will lapse. Promoter shareholding is expected to rise from around 62.30% to about 68.52% assuming full conversion. An Extra-Ordinary General Meeting has been scheduled for 10th November 2025 to seek shareholder approval for the preferential issue.
This is a fund-raising move through preferential warrants rather than a QIP or rights issue, which could dilute existing shareholders by up to ~6% on full conversion. Promoters are participating, signalling some confidence, but stock price may face short-term pressure if the market views the warrant pricing unfavourably.
