Entero Healthcare Solutions Ltd has received confirmation from the Ministry of Corporate Affairs (Regional Director, Southern Region, Chennai) approving a Scheme of Amalgamation under Section 233 of the Companies Act, 2013. The scheme involves the merger of two wholly-owned subsidiaries — Chethana Pharma Distributors Private Limited and CPD Pharma Private Limited — into Rada Medisolutions Private Limited (also a wholly-owned subsidiary). The merger is via the Fast-track route, effective from April 15, 2025. The rationale includes operational efficiencies, cost reduction, elimination of corporate redundancies, and simplification of the group structure. No new shares will be issued as both transferor companies are 100% held by the transferee company. The authorized share capital of the transferee will increase to INR 1.35 crore post-merger.
