Satellite Finance Private Limited (promoter group) along with its PACs filed a disclosure under SEBI Takeover Regulations for an internal restructuring. Through an NCLT-approved scheme of amalgamation, 42,51,619 equity shares (3.06% of share capital) previously held by Vinsan Brothers Private Limited have vested into Satellite Finance Private Limited. The NCLT approved the scheme on October 16, 2025, and the ROC registered the filing on December 1, 2025. Satellite Finance's individual holding rose from 3.26% to 6.31%, while the combined PAC holding fell from 61.36% to 60.16%. Total promoter and promoter group shareholding remains unchanged at 66.47% of the company's paid-up equity capital. The share capital of Exicom remains at 13,90,79,771 equity shares of Rs. 10 each.
This is a paper reshuffling within the promoter group with no real buying or selling in the market, so there is no material impact on shareholders or stock price. Investors should note that the encumbered shares (1.85% previously held under pledge/lien) now stand at zero, suggesting earlier encumbrances have been cleared as part of the merger.
