Foseco Crucible (India) Ltd (formerly Morganite Crucible India) reported Q3 FY26 revenue from operations of Rs. 4,609.31 lakhs, up about 3% YoY from Rs. 4,466.28 lakhs. For the nine months ended Dec 2025, revenue grew modestly to Rs. 13,456.62 lakhs vs Rs. 13,186.53 lakhs last year. Profit before tax (before exceptional items) rose to Rs. 1,163.88 lakhs from Rs. 1,086.09 lakhs, but a one-time exceptional charge of Rs. 277.73 lakhs (impact of new labour codes on gratuity and leave encashment) dragged Q3 profit after tax down to Rs. 556.80 lakhs vs Rs. 784.65 lakhs YoY. Nine-month PAT fell to Rs. 2,011.55 lakhs from Rs. 2,465.69 lakhs. The company is undergoing a change of control: Vesuvius Plc, through Foseco India Ltd, acquired a 75% stake from Morgan Advanced Materials for Rs. 65,394 lakhs, completed on November 12, 2025, prompting the name change.
Shareholders should note the change of ownership to the Vesuvius Group and the associated rebranding, which could bring strategic changes but also integration uncertainty. Q3 PAT decline is largely due to a non-recurring labour code charge; underlying operating margins actually expanded. Statutory auditors (Deloitte Haskins & Sells LLP) issued a clean limited review report with no qualifications.
