Fundviser Capital (India) Ltd's promoter group — Kriti Jain, Prem Krishan Jain, Renu Prem Jain, Trikaal Theatres & Realty India Pvt Ltd, and Mohit Prem Krishan Jain — were allotted 42,60,000 convertible warrants on 25 November 2025 via preferential allotment at Rs. 10 face value plus a Rs. 112.50 premium per warrant. The warrants, once fully converted, will raise the promoter group's total holding from 39,25,169 shares (66.36% of existing equity) to 81,85,169 shares, which works out to about 66% of the fully diluted share capital. The current equity share capital stays at Rs. 5.91 crore (59,15,000 shares), and the fully diluted capital after conversion of all warrants (including 64,85,000 warrants issued to non-promoters) will rise to Rs. 12.40 crore (1.24 crore shares).
This is a clear signal of promoter confidence, as the promoter group is putting in fresh capital to increase its stake. However, dilution risk remains since warrants are convertible into equity, and a separate tranche of ~65 lakh warrants has also been issued to non-promoters, meaning existing public shareholders will see their proportionate holding shrink once these convert.
