Future Supply Chain Solutions Limited has disclosed the specifics of the Resolution Plan approved by the NCLT Mumbai Bench on October 13, 2025, under the Insolvency and Bankruptcy Code. Reliance Retail Ventures Limited (a subsidiary of Reliance Industries Limited) is the Resolution Applicant and will take over the company as a going concern. As part of the plan, all existing 4,38,83,598 equity shares will be fully cancelled and extinguished with no payment to current shareholders, and Reliance Retail will acquire 100% of the share capital by infusing fresh funds. The equity shares will be delisted from NSE and BSE with no exit price, as the liquidation value for equity shareholders has been determined as NIL. The company's net worth worsened to a negative Rs 2,935.7 million by March 31, 2024 from a negative Rs 1,403.2 million in March 2022, reflecting severe financial distress with FY24 revenue collapsing to just Rs 19.25 million from Rs 1,084 million in FY23.
Existing shareholders will lose their entire investment as all shares stand cancelled and delisted with no compensation. The stock will be delisted from both NSE and BSE, and public shareholding will go to zero. Reliance Retail takes full control of the logistics business as a going concern, with debt to be settled through the resolution amount.
