The Board of Glittek Granites has approved a share purchase agreement under which the existing promoter group — comprising Manjula Agarwal, Tushar Agarwal, Ashoke Agarwal, Ashoke Agarwal & Others HUF, and Kosen Ventures Private Limited — will sell 1,63,51,010 equity shares (62.99% of the fully diluted share capital) to a group of six buyers from the Thanki family (Maheshkumar, Bhargav, Bhavin, Kalpana, Hema, and Gautam Thanki). This is effectively a complete change of control, with the Agarwal promoters exiting and the Thanki family taking over. The transaction is subject to regulatory approvals under SEBI's Takeover Regulations, 2011, and other necessary clearances. The board cleared the deal at its meeting on January 6, 2026.
This is a major change-of-control event for Glittek Granites — minority shareholders should expect heightened stock volatility and a mandatory open offer trigger once the takeover regulations process kicks in. New management and strategic direction under the Thanki family will be the key thing to watch post-completion.
