Godrej Industries has allotted 1,00,000 unsecured, rated, listed non-convertible debentures (NCDs) on a private placement basis, raising a total of ₹1,000 crore. The issue is split into two equal series of ₹500 crore each — Series 1 with a 4-year tenure carrying a 7.54% annual coupon, and Series 2 with a 5-year tenure at 7.59% annual coupon. Each NCD has a face value of ₹1 lakh and both series are listed on the NSE debt segment. The proceeds will be used for business purposes, investments in other companies, repaying or pre-paying some loans, and general corporate needs. The allotment was approved by the company's Management Committee on May 6, 2025.
This is a ₹1,000 crore debt raise that will boost available capital for business and refinancing but also adds to the company's interest obligations. Since these are non-convertible, there is no dilution for existing equity shareholders, and the coupon rates of around 7.5% are in line with current corporate borrowing rates.
