The Board of Gogia Capital Growth Ltd, at its meeting on May 30, 2025, approved the audited standalone financial results for Q4 and full year ended March 31, 2025. Statutory auditor H D Gupta & Associates LLP issued an unmodified (clean) opinion on the results. However, the auditor flagged a Material Uncertainty Related to Going Concern, noting that the NSE had temporarily suspended the company's trading terminals during the year due to irregularities, raising doubts about the company's ability to continue normal operations. At the PBT level, the company swung from a loss of about ₹2,246 lakh in FY24 to a profit of about ₹330 lakh in FY25, while total equity grew to about ₹2,869 lakh from ₹2,538 lakh. Cash and equivalents fell sharply from about ₹886 lakh to ₹501 lakh, and operating cash flow remained negative at about ₹(102) lakh. Borrowings of about ₹93 lakh newly appeared on the books. Appointment of auditors was deferred to the next Board meeting as they were not available for discussion.
Despite an unmodified audit opinion and a swing back to profit, the going-concern uncertainty caused by the NSE suspension of trading terminals is a material red flag for shareholders and could weigh on the stock. Weak operating cash flow despite reported profits and the deferral of auditor appointment add to governance concerns.
