SEBI has passed a Final Order against Gogia Capital Growth Ltd (formerly Gogia Capital Services Ltd), which operates as a SEBI-registered stock broker. The order follows a thematic inspection covering April 2022 to July 2023 and finds the company in violation of several regulations. SEBI determined that the company's net worth as on March 31, 2023 was negative at around INR 10.11 crore, falling well short of the INR 15 crore minimum required for a trading-cum-clearing member. SEBI also found improper maintenance of books of accounts, including journal voucher entries used to inflate net worth by adjusting receivables from a related party (Gogia Commodities). On a separate charge of engaging in non-securities business, SEBI could not conclusively establish violation for one transaction but found a violation in respect of an INR 25 lakh advance to Arun Kumar Bhalla HUF, lacking supporting documents. Non-settlement of client funds in 7 instances (INR 4.11 lakh) was also flagged.
This is an adverse regulatory ruling against the company's core broking business. The Designated Authority had recommended a one-month ban on onboarding new clients, and with this Final Order the violations stand confirmed, which may weigh on the stock and raise governance concerns for shareholders.
