Gretex Corporate Services' Board approved issuing 19.51 lakh fully convertible warrants to non-promoter investors on a preferential basis. Each warrant converts into one equity share of ₹10 face value within 18 months of allotment, subject to shareholder and regulatory approvals. The company also announced audited Q4/FY26 results showing consolidated revenue of ₹17,851.60 lakh and net profit of ₹2,792.84 lakh, up significantly from ₹181.52 lakh in FY25. Additionally, the Board recommended a 7% final dividend (₹0.70 per share) and proposed increasing authorised share capital from ₹24.20 crore to ₹26.50 crore.
The warrant issue will dilute existing shareholders by approximately 8% when converted. The strong profit growth in FY26 and dividend recommendation are positive signals, but shareholders should be aware of potential dilution from the warrant conversion.
