The board has approved issuing up to 20 lakh convertible warrants to certain promoters, promoter group members, and a non-promoter investor on a preferential basis. Each warrant is convertible into 1 equity share of face value Rs. 10 at an issue price of Rs. 20.13 (including a premium of Rs. 10.13), aggregating to about Rs. 4.03 crores. Allottees include non-promoter Dhruv Gupta (8 lakh warrants) and four promoter/promoter group entities (Anjani Agarwal, Anshu Agarwal, Vasvi Agrawal, Anushka Agrawal) getting 3 lakh warrants each. Warrant holders must pay 25% upfront and the remaining 75% before converting into shares, with a maximum tenure of 18 months. The issue is subject to shareholder approval at an upcoming EGM and regulatory clearances.
This is a relatively small fundraise (~Rs. 4 crores) that will lead to equity dilution if warrants are fully converted into 20 lakh new shares. The participation of the promoter group signals insider confidence, though the small non-promoter allocation to a single investor is modest. The stock may see mild short-term pressure due to dilution overhang, but the limited size limits the impact.
