Halder Venture Ltd reported audited standalone revenue of Rs.7,979.62 crore for FY26, up from Rs.4,799.43 crore in FY25—a 66% jump. However, consolidated revenue declined to Rs.6,915.26 crore from Rs.8,724.78 crore in FY25, a 21% fall. Despite lower consolidated revenue, standalone net profit grew to Rs.229.85 lakh while consolidated PAT rose 51% to Rs.319.02 lakh. The company also completed a preferential warrant allotment of 793,650 convertible warrants at Rs.315 per piece and increased borrowing limits to Rs.1,000 crore. Statutory auditors changed from Sen & Ray to P. Somani & Co. for a 5-year term. The auditors flagged an emphasis of matter on subsidiary shareholdings (6.61%) violating Section 19 of the Companies Act, though management believes no financial liability will arise.
Strong standalone performance with 66% revenue growth masks a 21% consolidated revenue decline—likely due to overseas subsidiary performance. The statutory auditor change and Rs.1,000 crore borrowing limit expansion signal strategic positioning. The Section 19 contravention issue remains a regulatory watch item.
