Hariom Pipe Industries' board has approved the issuance of up to 15 lakh Convertible Warrants to four promoter group individuals — Rupesh Kumar Gupta, Shailesh Kumar Gupta, Parul Gupta, and Isha Gupta — at Rs. 343 per warrant, aggregating up to Rs. 51.45 crore. Only 25% of the issue price (Rs. 85.75 per warrant) is payable upfront at subscription; the remaining 75% is due upon exercise/conversion. The warrants have an 18-month tenure from allotment, after which unexercised warrants will lapse with forfeiture of amounts paid. Post-conversion, promoter shareholding will increase modestly — Rupesh Kumar Gupta from 14.45% to 15.69%, Shailesh Kumar Gupta from 10.39% to 11.82%, and others accordingly. The proposal is subject to shareholder approval at an Extra-Ordinary General Meeting scheduled for June 16, 2026.
The warrant issuance is purely a promoter-funded infusion with no immediate cash inflow for the company since 75% of the consideration is deferred. It strengthens the promoter stake without a public offering or rights issue, which is neutral to slightly positive for minority shareholders as it signals promoter confidence, though dilution will occur upon conversion.
