HEG Limited held three NCLT-convened meetings on May 5, 2026 to approve a Composite Scheme of Arrangement involving HEG Limited (Demerged Company), HEG Graphite Limited (Resulting Company), and Bhilwara Energy Limited (Transferor Company). The equity shareholders approved the scheme with 99.9997% votes in favor (139.24 million votes cast, with only 388 votes against). All 5 secured creditors holding Rs. 5,595.56 million voted 100% in favor, and 47 out of 281 unsecured creditors holding Rs. 5,757.87 million (91.76% of outstanding) also voted 100% in favor. The scheme has received requisite majority approval from all stakeholder groups as required under the Companies Act and SEBI regulations.
The approval of this Composite Scheme of Arrangement represents a significant corporate restructuring. HEG Limited shareholders and creditors have overwhelmingly approved the demerger, which will result in the creation of separate entities. This is a positive development for stakeholders as the restructuring moves forward pending NCLT sanction.
