The board of Hemo Organic Ltd approved the allotment of 34,00,000 convertible warrants to non-promoter entities at Rs. 12.50 each (face value Rs. 10 + Rs. 2.50 premium). Each warrant can be converted into one equity share within 18 months, with only 25% of the issue price paid upfront and the remaining 75% at the time of conversion. The two allottees are Vacro Enterprises Private Limited and Qmin Realities Private Limited, each receiving 17,00,000 warrants, contributing Rs. 1.06 crore in upfront consideration. If all warrants are converted, the company's paid-up equity capital will nearly double from Rs. 3.47 crore (34.66 lakh shares) to Rs. 6.87 crore (68.66 lakh shares). Separately, the company is shifting its registered office within Ahmedabad with effect from February 26, 2026.
This preferential warrant issue will dilute existing shareholders by nearly 100% upon full conversion, though it brings in fresh capital without immediate full dilution. The warrants were allotted at a modest premium, and the small upfront payment suggests the company is raising limited immediate funds while signaling potential equity expansion in the future.
