HAL has received a notice from BSE imposing a penalty of Rs. 10,06,540 for the quarter ended 30th June 2025. The penalty is for non-compliance with several SEBI (LODR) Regulations relating to the composition of the Board of Directors, quorum at Board meetings, and the constitution of the Audit, Nomination & Remuneration, Stakeholders Relationship, and Risk Management Committees. The root cause was a shortage of Independent Directors, which HAL says was beyond its control because, as a Government Company under the Ministry of Defence, Independent Directors are appointed by the Government of India. The company has since achieved compliance from 2nd June 2025 and filed applications with NSE for waiver of the fines, but is awaiting a response. HAL has clarified there is no material financial impact from this penalty.
The penalty amount of around Rs. 10 lakh is negligible for a large PSU like HAL and the company has stated there is no material financial impact. This is a procedural/compliance issue stemming from delayed government appointments of Independent Directors and is unlikely to affect the stock price. Shareholders should note the governance gap and the pending waiver application.
