Hittco Tools Limited has sent a Postal Ballot Notice to shareholders for two items. Item 1 seeks approval to issue up to 4,45,000 equity shares of Rs. 10 face value at Rs. 13.92 per share on a preferential basis, raising up to Rs. 61.94 lakh. The shares will go to promoter Yash Vardhan Bhandari (2,95,000 shares, Rs. 41.06 lakh) and non-promoter Shreyans Bhandari (1,50,000 shares, Rs. 20.88 lakh). The issue price was set at the floor price computed under SEBI ICDR rules (the higher of 90-day VWAP of Rs. 13.64 and 10-day VWAP of Rs. 13.92). Item 2 seeks to cancel a previous preferential allotment resolution passed at the AGM on 30 September 2025, as the Board has decided not to proceed with that earlier plan. E-voting runs from 20 January 2026 (9:00 AM) to 18 February 2026 (5:00 PM). Stated objectives include working capital, expansion, debt repayment, and general corporate purposes.
If approved, the promoter's personal stake will rise from 1.97% to 6.38% and the overall promoter group holding from 25.63% to 28.36%, strengthening promoter control but diluting public shareholders by roughly 6–7%. The simultaneous cancellation of the earlier September 2025 preferential resolution suggests the company has reshaped its fund-raising plan with new allottees and possibly different terms.
