Honasa Consumer Limited has received the certified copy of the NCLT Delhi order dated June 3, 2025, sanctioning the amalgamation of its two wholly-owned subsidiaries—Fusion Cosmeceutics Private Limited and Just4Kids Services Private Limited—into Honasa Consumer Limited. The appointed date for the scheme is May 1, 2023, and the appointed date was modified from April 1, 2023 to May 1, 2023 via an earlier NCLT order. Since both transferor companies are entirely owned by Honasa, no new shares are being issued to outside shareholders and there is no equity dilution. The scheme will become fully effective only once certified copies of orders from both NCLT Delhi and NCLT Chandigarh are filed with the Registrar of Companies. The purpose of the merger is to consolidate operations, remove duplicate costs, simplify the management structure, and improve overall efficiency and shareholder value.
This is a routine internal restructuring of wholly-owned subsidiaries and should not affect the share price or cause any dilution for existing shareholders. In the longer term, it may deliver modest cost savings and operational efficiencies, but near-term impact on investors is expected to be neutral.
