Hubtown Limited's board has approved the conversion of 2,50,000 Compulsorily Convertible Debentures (CCDs), originally allotted to Ovata Equity Strategies Master Fund in September 2024, into an equal number of equity shares of Rs. 10 face value each. The conversion price is Rs. 10 per share. As a result, the company's paid-up equity capital rises by Rs. 25 lakh, from Rs. 139.72 crore (13,97,18,721 shares) to Rs. 139.97 crore (13,99,68,721 shares). The new shares will rank equally with existing shares for dividends and voting rights and will be listed on BSE and NSE pending approvals. This is the planned conversion of an instrument that was always meant to convert into equity.
This is a very small dilution of about 0.018% in total share count. Since these CCDs were compulsorily convertible and their conversion was anticipated, the impact on share price is expected to be minimal. No fresh capital is being raised; existing debt is simply being converted to equity.
