IIRM Holdings board approved raising about INR 150 crores via preferential issue. Up to 15.70 lakh equity shares and 88.99 lakh convertible warrants at INR 143.28 each, to 14 investors led by Carpediem Capital Partners Fund II (Category II AIF). Investor gets one board seat, observer seat, and veto rights on reserved matters. Two new directors appointed including Carpediem nominee Hithendra Ramachandran and Sathya Pramod Nagaraj. Price set per registered valuer report. Promoter retains management control. AGM set for August 27, 2026.
Significant dilution risk from the fund raise, but marquee PE investor entry and premium of INR 138.28 per share may be seen positively. Promoter control intact.
