Indef Manufacturing Ltd, a Bajaj Group company demerged from Hercules Hoists Limited, reported FY2025-26 audited results with standalone revenue of Rs 19,567 lakhs (up 10.7% YoY) but standalone PAT declining 24% to Rs 2,605 lakhs from Rs 3,424 lakhs last year. Consolidated revenue was Rs 20,769 lakhs (up 16.3% YoY) with PAT at Rs 2,339 lakhs. The company recorded an exceptional item of Rs 61.44 lakhs due to new labour code implementation (gratuity and leave encashment provisions). A Rs 72 lakh adjustment was made from demerger measurement period adjustments. The Board recommended a final dividend of Rs 2 per share (200%) maintaining last year's rate to celebrate 100 years of Bajaj Group, subject to shareholder approval at the 4th AGM on August 12, 2026. The company also appointed new directors including Pooja Bajaj (related party - daughter-in-law of Chairman Shekhar Bajaj) and acquired Daedalus Lift & Access Equipment Private Limited as an 80% subsidiary in August 2025.
PAT declined ~24% YoY on standalone basis due to lower other income and exceptional labour code costs, despite revenue growth. The dividend yield of ~2% at current market prices remains stable but profit compression may limit further dividend growth. Positive revenue momentum continues.
