Kare Family Private Trust (KFPT), a promoter group entity of Indoco Remedies, acquired 55,34,874 equity shares (6.00% of share capital) directly from promoter Aruna Suresh Kare on 26th December 2025 at nil consideration. KFPT also picked up a 40% stake in Shanteri Investment Pvt Ltd (SIPL) and a 20.16% stake in SPA Holdings Pvt Ltd (SHPL), which together hold 37.07% of Indoco Remedies. The transfer is an off-market, inter-se family arrangement for succession planning and to streamline family assets. As a result, KFPT's direct holding in Indoco Remedies rose from 8.20% to 14.20%, while Aruna Suresh Kare's holding went to zero. No open offer is triggered because the exemption under Regulation 10(1)(a)(i) applies to transfers among immediate relatives.
This is an internal promoter family restructuring with no change in the ultimate promoter group's control over Indoco Remedies and no cash transaction, so it is unlikely to have a material impact on the share price. Shareholders should note that the legal ownership within the promoter family has been consolidated under the Kare Family Private Trust, which may affect how future promoter actions are reported.
