The NCLT Chennai Bench has approved the Scheme of Amalgamation of Indowind Energy Limited (Transferee) with its wholly owned subsidiary Ind Eco Ventures Limited (Transferor) through an order dated March 10, 2026, which was received by the company on March 12, 2026. The merger will take effect from the appointed date of April 1, 2023, once the NCLT order is filed with the Registrar of Companies, after which the Transferor Company will stand dissolved. The scheme aims to simplify the holding structure, reduce management overlaps, cut compliance costs, and optimize capital allocation for the renewable energy business. During proceedings, the Official Liquidator raised significant concerns including pending winding up proceedings against Indowind Energy in the Madras High Court, past RoC violations by Ind Eco Ventures, and share capital mismatches in the scheme disclosures. The company has filed compounding applications for the RoC violations and undertaken to cooperate with remaining regulatory matters.
The merger streamlines the corporate structure by absorbing a wholly owned subsidiary, potentially reducing compliance costs and management redundancies for shareholders. However, investors should be aware of the existing winding up petition against Indowind Energy at the Madras High Court and the transferor's history of regulatory non-compliance, which may create lingering risks for the merged entity.
