Indus Infra Trust's Investment Manager (GR Highways Investment Manager Private Limited) approved the acquisition of 100% equity shareholding in GR Bahadurganj Araria Highway Private Limited (GBAHPL) from G R Infraprojects Limited. GBAHPL operates a 44.983 km, 4-lane highway on the Bahadurganj-Araria section of NH-327E in Bihar under the Hybrid Annuity Mode, with a balance life of 13.76 years. The aggregate consideration is Rs. 1,980.80 million in cash, with an enterprise value of Rs. 6,076.03 million. NHAI's NoC for the share transfer has already been received, and the acquisition is expected to be completed by 31st March 2026. The acquisition is classified as a related party transaction since G R Infraprojects holds 43.56% units in the InvIT, but unitholder approval is not required as it falls within the 5% threshold.
The deal is described as yield accretive and is expected to increase the InvIT's weighted average life by approximately 0.23 years, which should support stable and potentially higher distributions for unitholders.
