Info Edge's board approved two key decisions on March 27, 2026. First, the company will commit up to Rs. 250 crore to A88 Fund I, a SEBI-registered Category II Alternative Investment Fund focused on early-stage deep tech companies in India, through its wholly-owned subsidiary Smartweb Internet Services, which will also act as fund sponsor and investment manager. Second, its wholly-owned subsidiary SIHL will transfer its 26.14% stake in associate company Shopkirana to Singapore-based Trustroot Internet Private Limited (TIPL) for USD 32.97 million (approx. Rs. 270+ crore), in exchange for 1,04,868 TIPL preference shares (2.021% stake). SIHL will also invest an additional USD 1.72 million in TIPL via primary infusion, taking its total holding in TIPL to about 2.126% on a fully diluted basis. Post-deal, Shopkirana will cease to be an associate company. Both transactions are expected to close by June 30, 2026, subject to conditions precedent and AD bank clearance.
The Rs. 250 crore AIF commitment signals continued deployment of treasury into early-stage deep tech startups, which may yield long-term value but involves risk. The Shopkirana exit monetizes a non-core associate for approx. Rs. 280+ crore (cash + TIPL shares), providing liquidity and simplifying the portfolio. Both moves are consistent with Info Edge's stated strategy of value-creation through financial investments and are unlikely to materially impact near-term earnings.
