The National Company Law Tribunal (NCLT), New Delhi Bench, has allowed the first motion application for a Scheme of Amalgamation of four of Info Edge's wholly-owned subsidiaries — Allcheckdeals India (real estate brokerage), Axilly Labs (technical assessment platform deselect.com), Diphda Internet Services, and Zwayam Digital (SaaS recruitment) — into Info Edge (the listed parent). The appointed date is April 1, 2025. NCLT has dispensed with the meetings of the transferor companies' shareholders and creditors, as their consents are on record. It has, however, directed convening meetings of Info Edge's 1,93,534 equity shareholders, 3 secured creditors, and 37 unsecured creditors to vote on the scheme, with a chairperson and scrutinizer appointed.
