On the reaction day the stock moved 4.4 pts more than Nifty Microcap 250 and 4.6 pts more than its Pesticides & Agrochemicals peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Promoter family of Insecticides (India) transferred about 1.97 crore shares (67.65%) to four family trusts through an off-market gift at NIL value, between January 5 and January 21, 2026. Sanskriti Family Trust received the bulk at 64.66%, while Akshay, EJ and KBZ Private Trusts received smaller allotments. SEBI exempted the transfer from the mandatory open offer requirement under Takeover Regulations, treating it as a private family arrangement for succession planning and internal reorganization. Individual promoter holdings reduced marginally, while the trusts now hold the shares as promoter entities.
No change in total promoter holding; purely internal family restructuring with no cash transaction. No meaningful impact expected on minority shareholders or stock price.
