Piramal Enterprises has modified the terms of its Non-Convertible Debentures (NCDs) issued under ISINs INE140A07831 and INE140A07849. The changes update the Step Up/Step Down Coupon Rate clause: if the company's long-term rating is downgraded from its current AA, the coupon rate will increase by 0.25% per notch until A+, and by 1.00% from A+ to A. Upgrades would reverse these increases. Additionally, the Mandatory Redemption Event clause has been revised so that debentures must be mandatorily redeemed if the rating is downgraded four notches from AA to A- or below. All other terms in the Key Information Document remain unchanged.
This is a redefinition of protective covenants for NCD holders and does not change current coupon rates or signal financial stress. It strengthens investor protection by locking in clearer triggers for higher coupon payments or early repayment in adverse rating scenarios, which could be viewed positively by debt investors.
