IRB Infrastructure Developers declared its 4th interim dividend of Rs. 0.05 per share (5% on face value) for FY2026. The company reported audited FY2026 consolidated revenue of Rs. 76,481.50 million, slightly lower than FY2025's Rs. 78,223.84 million. Net profit after tax declined significantly to Rs. 8,503.60 million from Rs. 64,806.84 million in FY2025, mainly due to a one-time exceptional gain of Rs. 58,041.28 million recognized in the prior year from reclassification of InvIT investments. Current year had an exceptional item of Rs. 426.54 million due to new labour code implementation. The board also approved related party arrangements with 12 project SPVs for O&M works valued up to Rs. 19,501.90 crore (plus taxes). Auditors issued an unmodified (clean) opinion. Bonus shares were issued in April 2026, doubling the share count.
Revenue declined marginally while PAT dropped sharply due to the absence of prior-year exceptional gains. The small dividend of Re. 0.05 per share suggests conservative profit distribution. The large related party transaction worth ~INR 19,500 crore with IRB Infrastructure Trust SPVs requires shareholder approval and signals continued business interdependence.
