Ircon International Limited's Board discussed fines imposed by NSE and BSE for non-compliance with SEBI LODR Regulations 17(1), 18(1) and 19(1)/19(2) regarding Board and committee composition (Audit Committee and Nomination & Remuneration Committee) for Q3 FY2026. The Company had already sent a clarification letter to both exchanges on 28th February 2026. The Board noted that IRCON is a Government Company under Section 2(45) of the Companies Act, 2013, and the President of India appoints all Directors including Independent Directors through the Ministry of Railways. IRCON has been continuously requesting the Ministry for appointment of requisite Independent Directors but has no direct role in such appointments. The Board considers the fine unreasonable and not applicable to IRCON. Additionally, Shri Rajesh Naik, Director (Projects), was designated as KMP from 13th February 2026 till his superannuation on 31st May 2030.
The SEBI penalty for board composition non-compliance is a governance concern, though IRCON is disputing it citing government control over director appointments.
