NSE and BSE have imposed a fine of Rs. 9,55,800 each (including GST) on Ircon International for non-compliance with SEBI regulations regarding board and committee composition. The company is a Government Company where the President of India appoints all directors through the Ministry of Railways, leaving IRCON with no control over director appointments. Despite repeated requests to the Ministry of Railways for appointing the required number of Independent Directors (including Woman Independent Director), the appointments have not been made. The company clarified that the fine has no impact on its financial, operational or other activities and has classified it as a contingent liability. IRCON expects the fine to be waived once MoR makes the requisite director appointments, similar to past instances.
The fine is relatively small and categorized as a contingent liability with no operational impact. However, it highlights an ongoing governance issue due to the government's delay in appointing independent directors. Once director appointments are made, the penalty may be waived.
