IRIS RegTech Solutions Ltd reported audited consolidated revenue from continuing operations of ₹12,849.85 Lakhs for FY 2025-26, up 17.2% from ₹10,967.60 Lakhs in the prior year. Profit from continuing operations grew modestly to ₹1,416.29 Lakhs (vs ₹1,365.46 Lakhs), a ~3.7% increase. However, total net profit surged to ₹12,653.76 Lakhs due to a ₹13,598.67 Lakh exceptional gain from the strategic divestment of its GST ASP business (IRIS Logix Solutions) and Malaysian e-invoicing operations to Sovos Compliance Limited. The auditors (KKC & Associates LLP) issued an unmodified (clean) opinion with an Emphasis of Matter pointing to the discontinued operations and exceptional item. The Board also re-appointed M/s M.P. Chitale & Co. as internal auditors for FY 2026-27, approved re-appointment of two Whole Time Directors, plans to set up a new WOS in UAE, and approved closure of Atanou S.R.L. and relocation of the registered office from Vashi to Turbhe, Navi Mumbai.
The exceptional gain boosted reported net profit dramatically, but investors should focus on continuing operations revenue growth of 17.2% and stable PAT of ~₹1,416 Lakh. The strategic divestment simplifies the business while the UAE subsidiary expansion signals new growth avenues.
