Ishan Dyes and Chemicals Limited's board has approved a preferential issue to raise up to about Rs. 63 crore in total. This includes 45,84,872 convertible equity warrants at Rs. 63 each (aggregating ~Rs. 28.88 crore) issued to two promoters — Piyushbhai Natvarlal Patel and Anilaben Piyushbhai Patel — with 25% payable upfront and the rest within 18 months on conversion. Separately, 54,15,128 fully paid-up equity shares will be issued at Rs. 63 each (aggregating ~Rs. 34.12 crore) to 27 non-promoter allottees, mostly individuals, HUFs and one private company. The issue price carries a premium of Rs. 53 over the face value of Rs. 10 and has been set as per the SEBI ICDR floor price. The company is also increasing its authorised share capital from Rs. 25 crore to Rs. 35 crore to accommodate these issuances. Shareholder approval will be sought at an EGM scheduled for August 14, 2025.
