Issue of NCD not exceeding Rs. 1000 Crore for the time being in force in one or more tranches

Capri Global Capital's Board has approved raising funds through Non-Convertible Debentures (NCDs) via private placement, not exceeding Rs. 1,000 crore initially, in one or more tranches. Separately, the Board approved increasing the company's overall aggregate borrowing limit from Rs. 15,000 crore to Rs. 25,000 crore under the Companies Act, 2013. This borrowing limit increase is subject to shareholder approval at the upcoming Annual General Meeting. The NCDs will be issued privately, and the disclosure notes data is provided as available with the company on the filing date.
For shareholders, this signals the company's intent to expand its debt raise capacity significantly (a 67% increase in borrowing limits), which may dilute future equity risk but also supports business growth. The NCD issuance will add to existing debt obligations and requires AGM approval, so existing shareholders will have a say in the expanded borrowing limit.
