JB Chemicals & Pharmaceuticals reported audited standalone revenue of Rs 3,88,989 lakhs for FY26, up 4.5% from Rs 3,72,292 lakhs in FY25. Standalone net profit after tax grew 3.3% to Rs 67,410 lakhs. Consolidated revenue was Rs 4,14,779 lakhs (up 5.9% YoY) with consolidated PAT of Rs 70,947 lakhs (up 7.6% YoY). The board declared a dividend of Rs 9.30 per share. Exceptional items of Rs 2,718 lakhs included Rs 1,872.82 lakhs severance compensation for distribution network restructuring and Rs 845 lakhs impact from new labour codes. The company is undergoing amalgamation with Torrent Pharmaceuticals Ltd (share exchange: 51 Torrent shares for every 100 JB Chem shares), with shareholder approval already obtained and pending NCLT clearance. Deloitte Haskins & Sells issued an unmodified opinion with no going concern issues.
Revenue and profit showed modest single-digit growth. The ongoing merger with Torrent Pharmaceuticals is a major strategic event that will impact shareholders through share exchange. Exceptional restructuring charges affected Q4 and full-year profits.
