Jayaswal Neco Industries has filed a revised disclosure (dated 20 June 2025) regarding a pledge creation originally done on 23 May 2022. Promoters and promoter group entities have pledged 46.64 crore equity shares — 97.08% of their total holding and 48.03% of the company's total share capital — with IDBI Trusteeship Services Ltd acting as security agent for 11 ACRE Trusts. ACRE is a SARFAESI-registered asset reconstruction company. The pledge serves as collateral for a restructured debt facility of about Rs 4,695.76 crore (total restructured facility of Rs 5,759.02 crore) taken by the company itself, not for personal promoter borrowing. The value of the pledged shares on the event date was around Rs 1,072.69 crore, giving a security cover ratio of just 0.23x. Promoters currently hold 49.48% of the company. The disclosure is being made voluntarily even though demat pledges are no longer strictly required under the amended SAST rules.
This is a high-risk situation for shareholders — virtually the entire promoter stake (97%) is pledged against the company's own debt. With shares worth only about 23% of the loan amount, any default by the company could trigger pledge invocation, potentially leading to a change in control or share price pressure. The filing itself is a revised disclosure of an old event, not a new pledge, so the immediate market reaction may be limited, but the underlying leverage remains a concern.
