JM Financial's board, at its May 12, 2025 meeting, approved audited standalone and consolidated results for FY25 and recommended a dividend of Rs. 2.70 per share, subject to shareholder approval. The 40th AGM is scheduled for August 12, 2025. Consolidated total income declined ~8% YoY to Rs. 4,452.83 crore, but profit before exceptional items and tax jumped to Rs. 996.85 crore from Rs. 353.37 crore, reflecting strong core operations. However, an exceptional loss of Rs. 846.86 crore (vs Rs. 572.12 crore in FY24) dragged consolidated PAT down to just Rs. 85.57 crore. On a standalone basis, PAT grew ~74% to Rs. 538.74 crore. KKC & Associates LLP issued an unmodified opinion but included an Emphasis of Matter on a SEBI order barring the firm from acting as lead manager in debt public issues until March 31, 2025. The board also appointed a new non-executive director and a new secretarial auditor for a five-year term.
Strong underlying operating performance is being masked by large exceptional charges, leaving consolidated profit thin. The dividend is supportive for income investors, but the SEBI regulatory overhang on the investment banking franchise remains a key risk to watch.
