Pursuant to the provisions of the Listing Regulations, we wish to inform you that the Board of Directors of the Company at their meeting held today, commenced at 12.30 p.m. and concluded at 1.55 p.m., have, inter-alia, considered and Recommended a final dividend of Rs. 4/- per equity share of face value of Re. 1/- each for the financial year ended March 31, 2025. The said final dividend, if approved by the members of the Company at the ensuing Annual General Meeting ( AGM ) of the Company, will be paid/dispatched within 30 days of its declaration at the said AGM of the Company.

Kajaria Ceramics' Board met on May 6, 2025 and approved audited FY25 results (standalone and consolidated) with an unmodified auditor opinion from Walker Chandiok & Co LLP. Standalone revenue from operations rose modestly to Rs. 4,218.82 cr (vs Rs. 4,103.02 cr), but profit after tax fell sharply to Rs. 204.14 cr (vs Rs. 381.45 cr) largely due to a Rs. 112.38 cr exceptional charge from fully impairing its investment and loan to the wholly-owned loss-making subsidiary Kajaria Plywood Pvt Ltd, which is being shut down by June 30, 2025. The Board recommended a final dividend of Rs. 4 per share, taking total FY25 dividend to Rs. 9 per share (vs Rs. 12 in FY24). The company also withdrew a Rs. 30 cr proposed investment in Kajaria Ultima Pvt Ltd, dismantled an old production line at Sikandrabad cutting capacity from 11.40 MSM to 8.80 MSM, and appointed Chandrasekaran Associates as Secretarial Auditors for five years from FY26.
