Kalpataru Projects International Limited (KPIL) informed exchanges that NHAI has issued a Termination Notice on August 1, 2025 to its wholly owned subsidiary Wainganga Expressway Private Limited (WEPL), alleging default in payment of premium. WEPL disputes this demand, saying it goes against the principles already established in a favorable arbitration award dated July 31, 2024 that the company won against NHAI. The Concession Agreement was already terminated by WEPL on July 15, 2025 citing NHAI's contractual defaults, and NHAI had also issued a prior Termination Intention Notice claiming INR 351.46 Cr which WEPL is contesting. NHAI had earlier challenged the 2024 arbitration award via a Section 34 petition in November 2024. Based on external legal advice and its own assessment, the company believes WEPL has a favorable legal position and that the matter will not have significant financial implications.
No major negative impact expected for shareholders as the company maintains WEPL has a strong legal position backed by a prior favorable arbitration award. Investors should monitor the ongoing legal proceedings, but management's view is that financial implications remain limited.
