Kamdhenu Ventures Limited reported its Q3 FY26 and nine-month FY26 results. Consolidated revenue from operations fell to Rs 6,323.20 lakhs in Q3 FY26 (from Rs 7,404.70 lakhs in Q3 FY25, a ~14.6% decline) and to Rs 17,025.86 lakhs for 9M FY26 (from Rs 18,334.02 lakhs, a ~7.1% decline). Consolidated net profit dropped to Rs 99.13 lakhs in Q3 FY26 (from Rs 198.76 lakhs) and Rs 287.57 lakhs for 9M FY26 (from Rs 477.65 lakhs). On the standalone level, the company is a holding entity with negligible revenue and a small loss of Rs 19.31 lakhs in the quarter. The Board also approved issuing up to 2,96,45,000 convertible warrants to promoter group entity Kamdhenu Limited at Rs 6.80 per warrant, aggregating ~Rs 20.16 crores, along with a Rs 5 crore increase in authorized share capital. The auditor (DSP & Associates) issued an unmodified limited review report, noting reliance on the predecessor auditor's prior year reports.
Shareholders should note the meaningful YoY decline in both revenue and profits in the paint business, alongside a dilutive preferential issue to the promoter group (post-issue holding of 8.62%). The fund raise may support growth but will dilute existing shareholders, warranting close attention to how the proceeds are utilized.
