Kilburn Engineering's Share Allotment Committee, at its meeting on 29th July 2025, approved the allotment of 8,00,000 equity shares (face value Rs. 10 each) at an issue price of Rs. 166 per share to M/s. Tusk Investments Limited (formerly Amodini Sales Private Limited). This allotment is on conversion of warrants that were originally issued on 7th February 2024, with the company receiving the balance 75% subscription amount of Rs. 9.96 crores. Post-allotment, the company's paid-up equity share capital rose from Rs. 49.04 crores (4,90,37,858 shares) to Rs. 49.84 crores (4,98,37,858 shares), an increase of about 1.6%. This represents 8,00,000 warrants converted out of 24,00,000 warrants originally issued, meaning 16,00,000 warrants are still pending conversion.
Minor dilution of about 1.6% for existing shareholders, with the company receiving Rs. 9.96 crores in fresh capital. The remaining 16 lakh unconverted warrants could lead to further equity dilution in the future, which investors should keep in mind.
