Three Mauritius-based entities — Infinity Partners II - Direct, Infinity Direct Holdings, and Infinity Direct Capital (acting as Persons Acting in Concert) — acquired a total of 12,63,158 equity shares (Rs. 10 face value) of Knowledge Marine & Engineering Works Ltd on October 30, 2025 through a preferential allotment (private placement) under SEBI ICDR Regulations, 2018. Individually, Infinity Partners II - Direct picked up 2,52,632 shares, Infinity Direct Holdings bought 4,64,214 shares, and Infinity Direct Capital acquired 5,46,316 shares. Following this acquisition, the three entities collectively hold approximately 10.27% of the total diluted share capital of the company. The acquirers are not part of the promoter/promoter group and the total share capital of the company increased from 1,08,01,000 to 1,22,22,054 equity shares post-allotment.
This signals a significant new foreign institutional investor (FII/FPI) entry crossing the 10% ownership threshold, which could bring positive market sentiment and improve liquidity. Shareholders should note the dilution from the preferential issue as the total share count rose by about 13.2%.
