KSE Ltd has disclosed to the stock exchange that two internal communications issued by the Board have been leaked and circulated on social media and WhatsApp. The first is a letter dated 22 January 2026 to the Managing Director seeking an explanation on assuming office as Chairman of Irinjalakuda Municipality. The second is a Show Cause Notice dated 27 January 2026 issued to the Managing Director and General Manager seeking clarification on expenditure at the Tuticorin godown, where potential non-compliance with internal approval procedures is flagged. The company has clarified that both notices were part of routine internal governance and review and were not meant for public circulation. KSE says it is examining the matter and will take appropriate action under applicable laws, the Code of Conduct, and the Fair Disclosure code for Unpublished Price Sensitive Information (UPSI). The intimation was made to the exchange in the interest of transparency.
This raises governance questions around the Managing Director's external role and possible procedural lapses in godown expenditure, which could draw investor and regulatory scrutiny. The leak itself also points to weak internal controls on confidential Board communications, which may pressure the stock in the near term.
