Lancor Holdings has allotted 33,33,330 fully convertible warrants to its promoters — Mr. Shekar Viswanath Rajamani (4,00,000 warrants) and Shyamala Shekar (29,33,330 warrants) — on a preferential basis at Rs. 30 per warrant. The total issue size is about Rs. 10 crore, with the company already receiving 25% of the consideration upfront. The floor price under SEBI rules was Rs. 29.04, so the warrants were issued at a slight premium. Each warrant can be converted into one equity share within 18 months, with the remaining 75% payable at the time of conversion. There is no immediate change in the paid-up share capital as the warrants are yet to be exercised.
This is promoter-group funding rather than new institutional money, which is generally a positive confidence signal but does not bring fresh outside capital. Share count stays unchanged until warrants are exercised; if fully converted, promoter holding could rise and equity dilution of around 4.5% would follow. Existing shareholders should watch the stock for potential dilution risk if warrants are eventually exercised.
