The Securities Appellate Tribunal (SAT) on February 19, 2026 partly allowed the company's appeal against a SEBI order dated July 28, 2023. The major fraud penalty under Section 15HA (originally Rs. 5-90 lakhs on the company and its directors) was completely set aside for all appellants. All SEBI directions, including the market access ban of 6 months on the company and 1-2 years on its directors, were quashed. The tribunal found no violation of accounting standard Ind AS 109 and held that the fraud allegation under PFUTP regulations was not established. Only a minor non-disclosure of related party transactions (RPTs) in FY 2018-19 and 2019-20 was upheld, with reduced penalties of Rs. 2 lakh on the company and certain directors, Rs. 5 lakh on the Managing Director, and Rs. 1 lakh each on two independent directors. The original SEBI orders were set aside.
This is a significant positive outcome for shareholders — the company and its directors have been cleared of the fraud charge, and the market access ban has been lifted. While a small reduced penalty on RPT non-disclosure remains, the overall ruling removes a major regulatory overhang and reduces legal/financial exposure considerably.
