LCC Infotech Limited has allotted 20,60,79,171 (about 20.6 crore) convertible warrants to 40 non-promoter allottees on a preferential basis at an issue price of Rs. 4.55 per warrant (face value Rs. 2 + premium of Rs. 2.55). The total potential issue size is around Rs. 93.77 crore. The company has already received Rs. 23.44 crore, which is the 25% upfront subscription amount required for the warrants. Each warrant can be converted into one equity share of Rs. 2 face value within 18 months, on payment of the remaining 75%. Since warrants have been allotted but not yet converted, there is no change in the paid-up share capital right now. All allottees are non-promoter individuals, HUFs, and a few small entities, with no pre-issue holdings in the company.
This is a large potential fundraising move, with warrants representing up to 20.6 crore future shares — significant future dilution risk for existing shareholders if all warrants are converted. Short-term, only 25% of the money has come in, so cash is limited. Existing shareholders should watch the warrant conversion timeline and current market price closely, as conversion at Rs. 4.55 would be relevant only if the stock trades above that level.
