The promoters (Project Ballet group entities) have created a pledge over 18.67 crore shares, equal to 55.91% of total share capital and 73.67% of promoter holding. Pledge is to Catalyst Trusteeship as security agent for a USD 500 million term loan from lenders including Barclays, Deutsche Bank, Morgan Stanley, MUFG, Nomura, Standard Chartered, and Sumitomo Mitsui. Shares are worth about INR 9,126 crore at a security cover of 1.93x. Promoters hold 75.91% of the company. Funds will be used for distributions to promoter investors, shareholder loan repayment, and transaction costs.
Large pledge of over half the company signals leveraged refinancing. Default risk could lead to forced selling of pledged shares by lenders.
