Awaiting price reaction for this filing.
Hindustan Fluorocarbons Limited (HFL) has sent the Letter of Offer to public shareholders for voluntarily delisting its equity shares from BSE. The acquirer is Hindustan Organic Chemicals Limited (HOCL), a Government of India PSU, which already holds 56.43% of the company. The offer is for the remaining 39.13% held by public shareholders (76,69,100 shares) at an exit price of ₹17.76 per share, totaling ₹13.62 crore. The offer window runs from August 4, 2025 to November 18, 2025, with payment expected by December 2, 2025. The company, which manufactures PTFE and refrigerant gas, has had its operations shut down by the Government of India, has a negative net worth of ₹9,818.56 lakhs, and posted a small profit of ₹42.47 lakhs in FY25.
Public shareholders can tender their shares at ₹17.76 per share during the offer window. This is a fixed-price delisting (no reverse book building) approved by SEBI exemption, given the company's shutdown status. Remaining shareholders who don't tender will still have a 1-year exit window at the same price after delisting, but the stock will lose liquidity on the exchange.
